Exhibit B – Vetstoria Chat Supplemental Terms and Conditions

The following terms and conditions apply to the Vetstoria Chat Services provisioned by Company and its Affiliates:

1. Regulatory Activity and Fees. Fees and rates are subject to the imposition of regulations, modification of existing regulations, or new interpretation, application or enforcement of, or exercise of authority related to, any regulation or finding of any federal, state, and/or local regulatory agency, legislative body, or court of competent jurisdiction, including, without limitation, the imposition of any charges (such as USF charges), surcharges, and/or taxes in reliance on, or as a result of, the same (collectively, “Regulatory Activity”). Company reserves the right, at any time, to pass through to Customer all or a portion of any costs or fees associated to any Regulatory Activity or to modify the fees and rates to reflect the actual cost impact of such Regulatory Activity, including, without limitation, the actual cost impact of any actions by third parties in connection with such Regulatory Activity.

2. Prohibited Use. Customer will NOT and will not permit any of its users or clients to:

2.1 distribute, transmit, receive, use or store any information or material that is in violation of any local, state, or federal laws and regulations or that may adversely affect the Services or other Company customers;

2.2 use the Services for any type of use or activities relating to third party chat services, resellers, third party automated messaging services (bots), or for use by an unauthorized third party other than the clinic/customer the service was provisioned for; 

2.3 use the Services in violation of any third party provider or network rules, terms and policies; 

2.4 use or cause any unauthorized or excessive use of the Services which may cause extreme network capacity or congestion issues, including but not limited to:

i. spamming or blasting messages within individual chat conversations (e.g., sending one hundred (100) or more bulk and/or junk messages simultaneously),

ii. spamming provisioning of individual chat conversation sessions (e.g., creating one hundred (100) or more separate conversation sessions simultaneously). 

3. Prohibited Communications. Customer and its Users are prohibited from sending the following types of messages or communications of any kind, including but not limited, via SMS/MMS:

3.1 Unsolicited Messages. recipients (including via SMS/MMS) must have explicitly opted in to receiving messages from Customer or Users through the initiation of a conversation session through the Vetstoria Chat application. The following do not qualify as valid opt ins:

i. collecting the recipient’s phone number for another purpose (such as for validating payments) but then sending messages to that recipient;

ii. purchasing, borrowing, renting, or otherwise obtaining the recipient’s phone number or a lead list from a third party;

iii. having the User or recipient opt in for a transactional message (such as message on delivery of a package) and then subscribing them to a recurring campaign.

3.2 Inappropriate Content. This includes but may not be limited to any content which uses, incorporates, refers to or resembles information or content that is or pertains to:

a. Sexual or pornographic;
b. Considered abusive or harassing;
c. Firearms (including fireworks);
d. Alcohol, tobacco or illegal drugs;
e. Loans, loan forgiveness, credit repair, debt collection or tax related content;
f. Gambling;
g. Investment opportunities;
i. Unsolicited real estate enquiries;
h. Multilevel marketing or network marketing; or
j. Persistent receiving or sending of one-time passcodes from or on behalf of other service providers.

3.3 Not Adhering to Unsubscribe Requests. Customer and Users must ensure that recipients may choose to unsubscribe from any further messages from Customer or Users by sending stop words such as STOP or UNSUBSCRIBE and Customer and Users will ensure that such messaging ceases within a reasonable time, and at all times within all applicable rules and laws.

3.4 Misrepresenting Identity (spoofing). Customer and Users may not represent or identify themselves as another individual or business in any way. More specifically, Customer and Users may not use the message body or the phone number in a way that would lead the recipient to believe it is another person or business.

3.5 Engaging in Fraud or Phishing for Information. Customer and Users must not at any time send messages with fraudulent information or phishing to get confidential information from a recipient.

3.6 Customer is fully responsible for its compliance with these terms as well as the compliance of all Users with these terms and shall cause all of its Users and personnel to comply with the terms hereunder. Customer and Users must not violate or facilitate the violation of another provider’s terms and conditions relating to the Services at any time, including distributing, transmitting, receiving, using, storing, or otherwise providing any product or service that violates these terms or other service provider terms and conditions in connection with its use of the Services. Any time a Customer or User accesses another provider or network using the Services, such Customer and Users must comply with the provider or network’s rules and policies. Customer agrees to indemnify, defend, and hold Company harmless from all claims, damages, losses, and expenses (including attorneys’ fees and expenses) resulting from or allegedly resulting from such Customer’s or its Users access or use of other providers or networks.

4. Cooperation. Customer and Company agree that, if a regulatory agency determines that it is necessary to audit the traffic which is the subject of the Agreement, Customer and Company will cooperate in any such investigation. This does not prohibit Customer from challenging the charges assessed by the third party or the classification of its traffic being subject to access charges.

5. Customer shall manage and correct, as necessary, any fraudulent or illegal messaging patterns or messaging patterns perceived as fraudulent or that may harm or adversely affect Customer, Company or its network. If Customer fails to comply with the requirements described above, Company shall have the right (but not the obligation) to take protective action against Customer to protect Company’s egress network. Protective action may include, without limitation, the temporary blocking of Service to Customer until the applicable problem is resolved (at Company’s discretion).

6. Customer shall promptly pay to Company all access charges, reciprocal compensation, and/or any other reasonable charges, surcharges and/or taxes billed to Company by a third party, or remitted by Company to a third party, that are associated with any of Customer’s traffic delivered or facilities utilized pursuant to this Agreement, including but not limited to any retroactive charges (collectively, “Additional Charges”), and that are not already reflected in the rates charged by Company for the Services rendered pursuant to this Agreement.

7. Although Company shall not have any obligation to challenge any Additional Charges levied by a third party, if Company successfully challenges imposition of any Additional Charges by a third party, it will refund to Customer any Additional Charges previously paid by Customer to Company that were subject to such successful challenge.

8. Use of AI (Artificial Intelligence) Technology: “AI Chat” is a feature of the Vetstoria Chat Service to which you may activate and use within the application. AI Chat incorporates features and capabilities that utilize artificial intelligence, machine learning, and similar technologies (the “AI Features”). You and your users acknowledge that AI Features are new technology and may produce unexpected results.  While we’ve taken steps to ensure their reliability, any use of Vetstoria Chat’s AI Features is at your own discretion and risk. By accessing or using these features, you agree to the following terms:

8.1 Vetstoria licenses software and services from third parties to support and provision Vetstoria Chat and the AI Features in particular as outlined in the Privacy Policy. It is understood that Vetstoria does not have any control over these third party providers or their technology or their use of any Content (as defined).

8.2 Vetstoria grants you a limited, revocable, non-exclusive, non-transferable and non-sublicensable license to use Vetstoria Chat during the Subscription Term. Vetstoria and its licensors exclusively own all right, title, and interest in and to Vetstoria Chat, including all associated components and intellectual property rights. 

8.3 You, your users and customers (Pet Owners) may provide input to AI Chat (“Input”), and receive output from AI Chat based on the Input (“Output”). Input and Output are collectively “Content”. You are solely responsible for Content, including ensuring that it does not violate any applicable law or these Vetstoria Chat Terms. 

8.4 As between you and Vetstoria and its third party providers, and to the extent permitted by applicable law, you (1) retain your ownership rights in Input and (2) own the Output. Vetstoria hereby assigns to you all its right, title, and interest, if any, in and to Output.

8.5 Due to the nature of the Services and the AI Features generally, output may not be unique and other users may receive similar output from Vetstoria Chat or any of our Services. Vetstoria’s assignment above does not extend to other users’ output.

8.6 Vetstoria may use Content to provide, maintain, develop, and improve the Services, including Vetstoria Chat and AI Features but will not share any Input with OpenAI for training purposes. Additionally, Vetstoria or our third party providers may use Content to comply with applicable law, enforce terms and policies, and keep the Services safe. 

8.7 In all cases, Artificial intelligence (the AI Features) and large language models are frontier technologies that are still improving in accuracy, reliability and safety. When you use Vetstoria Chat, you hereby acknowledge and agree:

i. Outputs may not always be accurate and may contain material inaccuracies even if they appear accurate because of their level of detail or specificity.

ii. You are responsible in all respects for providing and obtaining any notifications and consents associated with the use of

iii. Vetstoria Chat and any Content with regard to your users and customers access to and use of Vetstoria Chat.

iv. You should not rely on any Outputs without independently confirming their accuracy.

v. Vetstoria Chat and any Outputs may not reflect correct, current, or complete information.

vi. Outputs may contain content that is inconsistent with your or Petvisor’s views.

8.8 Vetstoria and its third party licensors may use Aggregated Data across its products and services to train and enhance its artificial intelligence and machine learning models. Vetstoria will use reasonable efforts to the extent it is under Vetstoria’s control so that no Personal Data can be isolated or exposed in this process.

8.9 You and your users will not, unless permitted by express written consent from Vetstoria:

i. use any data in connection with the development of any software program, such as a competing service including, without limitation, training any artificial intelligence tools for any purpose, such as the purpose of developing content or large language model training; or

ii. use data in connection with any third-party artificial intelligence tools for the purpose of deriving any profit or other financial gain.

8.10 You and your users will not, unless permitted by express written consent from Vetstoria:

i. use data or AI Features, in any manner that violates applicable laws, regulations or guidelines, including but not limited to the EU AI Act;

ii. sub-license, sell, lease or otherwise distribute AI Features, content or data to any third parties;

8.11 To the extent under Vetstoria’s control, Vetstoria will use commercially reasonable efforts so that:

i. The AI Features which are part of the Services are designed, developed, and deployed in a manner that is transparent, traceable, and auditable, and,

ii. clear and understandable information about the AI Feature’s capabilities, limitations, and potential risks is available to you upon written request.

9. If you do not agree or accept any of these Vetstoria Chat Terms, you must not use or access the Vetstoria Chat services or any of the AI Features.
